📜 End User License Agreement

The agreement below is the binding one. This summary is not — it is here so you know what you are reading. Nothing in it changes the terms.

Subject to your compliance with this Agreement and payment of all applicable subscription fees, Saville Coaching grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Add-On solely for your personal or internal business purposes within a single Google account.

Restrictions: You may not copy, modify, reverse engineer, decompile, or create derivative works based on the Add-On. You may not rent, lease, sell, sublicense, distribute, or transfer the Add-On. You may not use the Add-On to build a competing product, share subscription access, or attempt to circumvent any authorization or access control mechanism.

The Add-On is licensed, not sold. Saville Coaching retains all right, title, and interest in and to the Add-On, including all intellectual property rights.

Access requires an active paid subscription tied to your individual Google account email address and is non-transferable. The Add-On uses an HMAC-signed monthly token system, validated against subscription status stored in Firebase Firestore, to authenticate your access. By using the Add-On, you consent to this verification process.

If your subscription lapses or payment fails, the Add-On will cease to function. Saville Coaching is not liable for any loss of data or disruption resulting from loss of access due to non-payment. Saville Coaching reserves the right to modify subscription pricing at any time with reasonable notice.

The Add-On requires authorization to Google Spreadsheets, Contacts (People API), Gmail (read, compose drafts, send, and manage labels), Calendar, Drive, Tasks, Documents, and User Info (Email) OAuth scopes to deliver its core functionality. The complete list of every scope requested, what each is used for, and why a narrower scope is not sufficient is published at waterllm.com/permissions.

Your Data Stays in Your Google Account: The Add-On does not transmit your contacts, emails, calendar events, spreadsheet data, invoices, or other personal CRM data to Saville Coaching's servers. All CRM data is stored exclusively within your own Google Spreadsheet, Google Drive, and Google Workspace environment.

Data Transmitted to Third-Party Services:

• Vertex AI / Google Gemini: When using AI features, the following data categories may be transmitted to Google's Vertex AI (Gemini) API for processing, governed by Google's terms: contact names and email addresses; calendar event titles, times and attendee lists; email content excerpts, truncated to at most 1,500 characters per message (and at most 15 messages per address for the Weekly Client Recap) for briefings, meeting preparation and context summarisation; newsletter and subscription email content for digest summarisation; invoice data, deal pipeline data and computed business metrics for insights analysis; website content and sent-mail excerpts you submit to the Voice Style Scan; CRM field values such as company, title, status and communication dates; and, for Meeting Prep, your own notes about the contact (the CRM Notes field and recent entries from their notes Doc). Requests are processed under Google’s enterprise terms for Vertex AI, which prohibit Google from using the prompt or its output to train, fine-tune or improve any AI model. Google may briefly retain request data for abuse monitoring under those terms; that data is not used for training and Saville Coaching cannot access it. AI features can be individually enabled or disabled in Automation Scheduling.
• AI output stored in your own Google Drive: Some AI features write their output into your own Google account rather than returning it once — most notably the Weekly Client Recap, which appends summaries of your client correspondence to per-contact Google Docs, and the Voice Style Guide. Those documents are yours, live only in your Google account, and are never transmitted to Saville Coaching.
• Firebase Firestore: Saville Coaching keeps one subscription record per user, keyed on your Google account email address. It holds: your email address; subscription and billing status; Stripe customer, price and product identifiers; plan interval, amount and currency; current billing period dates; cancellation and payment-failure timestamps; the date and version of this Agreement you accepted; your signup date and position in the onboarding email sequence; and the file identifier of your Water LLM spreadsheet — an identifier only, which grants no access to the file or its contents. A separate queue holds your email address in order to deliver onboarding email. No contact, client, communication, calendar, invoice or other CRM content is stored there. • Public Booking Page: If you enable the optional Booking Page, the page you publish is reachable without a Google sign-in. What a visitor enters — their name, email address and answers to the intake questions you define — is written to your own spreadsheet and your own Google Calendar, and is not transmitted to Saville Coaching. You are the controller of that information and are responsible for how you describe your handling of it to the people who book with you.
• LinkedIn (import only): The Add-On does not connect to LinkedIn. It does not use any LinkedIn API, does not sign in to LinkedIn on your behalf, and does not scrape, crawl or automate LinkedIn through bots, browser extensions or agents. The optional LinkedIn import works only on the copy of your own data that LinkedIn lets you download from your account settings, after you place that file in your own Google Drive. The Add-On reads the file there and handles its contents like the rest of your CRM data, as described in this Section; the file and its contents are never transmitted to Saville Coaching. LinkedIn profile links shown by the Add-On open in your own browser. That archive includes information about other people, such as your connections’ names, employers and, where they have chosen to share them, email addresses, along with your message history. You are responsible for using that information in line with LinkedIn’s User Agreement and applicable law, including anti-spam and data-protection law.

Your use of all Google services accessed through the Add-On is subject to Google's Terms of Service and Privacy Policy.

The Add-On's AI features — including the Daily Assistant, Business Insights, Calendar Assistant, Meeting Prep, Task Manager, and Email Outreach drafts — are powered by Google's Vertex AI (Gemini). Output is for informational and productivity purposes only and does not constitute professional legal, financial, tax, medical, psychological, or coaching advice.

AI-generated content may be inaccurate, incomplete, outdated, or unreliable. You are solely responsible for reviewing, validating, and approving any AI-generated content before acting on or sending it.

The Add-On creates Gmail drafts on your behalf. Drafts are not sent automatically. You remain fully responsible for reviewing all outgoing communications before sending. Saville Coaching may change the underlying AI model or provider at any time without notice.

You are solely responsible for verifying the accuracy of all invoice data, calculations, line items, tax figures, and totals before issuing invoices to clients. Saville Coaching is not liable for any financial loss, tax liability, billing dispute, or client relationship harm arising from invoice errors.

Invoice and financial tracking features do not constitute accounting, tax, or financial advice. Consult a qualified professional for such matters.

The Add-On, including all source code, scripts, HTML, algorithms, workflows, UI designs, and documentation, is the exclusive intellectual property of Saville Coaching LLC. Water LLM® is a registered trademark of Saville Coaching LLC; this Agreement grants you no right to use it. You retain all ownership rights in the data you input. You grant Saville Coaching no rights to your content except as described in Section 3.

If you provide suggestions or feedback regarding the Add-On, you grant Saville Coaching a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation.

What We Collect: Your Google account email address; your subscription and billing state (status, plan interval, amount and currency, Stripe customer/price/product identifiers, billing period dates, cancellation and payment-failure timestamps); the date and version of this Agreement you accepted; your signup date and onboarding-email position; the file identifier of your Water LLM spreadsheet; and aggregated non-identifiable usage telemetry if and when implemented. What We Do Not Collect: Your contact records, client names, CRM data, email content, calendar events, meeting details, invoices, financial records, billing data, Google Drive files, or any other spreadsheet content.

Retention and deletion: Your subscription record is kept for as long as your account is active. You can delete it at any time — including after your subscription ends — using Configure Hub → Danger Zone → Delete My Data inside the add-on; that removes the Firestore record and clears all local settings immediately, and does not cancel Stripe billing, which you must cancel separately. When a subscription ends, the record is marked for deletion and removed automatically approximately 28 days later, so that a cancellation made in error or a resubscription does not cost you your setup; onboarding email queue entries expire within 30 days. If you cannot reach the add-on, send a written deletion request to support@savillecoaching.com and your record will be deleted within 30 days. Deleting your data does not affect your spreadsheet, your Google Contacts or your Drive files — those are yours and remain untouched. By using the Add-On, you acknowledge data may be processed by Google LLC (Workspace, Vertex AI, Firebase, OAuth2) and Stripe or other payment processors.

The Add-On integrates with Google Contacts, Gmail, Calendar, Drive, Tasks, Vertex AI, and Firebase Firestore. It can also import files you export from other services, such as your LinkedIn data archive; it does not connect to those services (see Section 3). Saville Coaching is not affiliated with, endorsed by, or sponsored by Google, LinkedIn, or any other third-party platform. Saville Coaching does not control and is not responsible for the availability, security, or functionality of any third-party service, and makes no guarantees that integrations will remain available if third-party APIs change, or that imports will keep working if a third party changes the format of its exported files. Google, LinkedIn and other third-party names are trademarks of their respective owners and are used only to identify their services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Saville Coaching expressly disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, freedom from errors, and accuracy of AI-generated content, sync operations, or data calculations.

IN NO EVENT SHALL SAVILLE COACHING LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES including loss of data, revenue, profits, business opportunity, goodwill, errors in AI content or invoices, billing disputes, sync failures, subscription interruption, unauthorized account access, or API changes — regardless of the theory of liability.

Saville Coaching's total cumulative liability shall not exceed the subscription fees actually paid by you in the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Saville Coaching LLC from any claims, liabilities, damages, losses, costs, and expenses arising from: your use of the Add-On in violation of this Agreement; content you input or transmit; your violation of applicable law; emails, invoices, or communications you send based on AI-generated content; misuse of third-party services, or of data you import from them, including your LinkedIn data archive; or claims by third parties arising from your use of the Add-On's features.

You may terminate at any time by uninstalling the Add-On and canceling your subscription. No refunds for unused subscription periods unless required by law. Saville Coaching may suspend or terminate access immediately if you breach this Agreement, fail to pay, pose a risk, or if the Add-On is discontinued. Upon termination, your license immediately ceases.

Saville Coaching may release updates at any time, which may change, remove, or add features. Your continued use constitutes acceptance. Saville Coaching may modify this Agreement at any time. If you do not agree to modified terms, you must stop using the Add-On.

This Agreement is governed by the laws of the applicable state, United States. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association. You agree that any claims shall be brought in your individual capacity and not as part of any class action or collective proceeding.

This Agreement constitutes the entire agreement between you and Saville Coaching regarding the Add-On. If any provision is found invalid, the remaining provisions continue in full force. Saville Coaching's failure to enforce any right shall not constitute a waiver. You may not assign this Agreement without prior written consent. Nothing herein creates a partnership, joint venture, or employment relationship. Saville Coaching shall not be liable for failures due to force majeure.
